Acceptance of Terms

By accessing or using NanoPDF services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

These terms constitute a legally binding agreement between you and NanoPDF. We reserve the right to update these terms at any time, with notice provided via email or through our platform.

Your continued use of our services after any changes constitutes acceptance of the new terms. We recommend reviewing these terms periodically.

Service Description & Availability

NanoPDF provides online PDF processing tools including but not limited to conversion, compression, merging, splitting, editing, and security features. Our services are provided 'as-is' and 'as available.'

We strive for 99.9% uptime but do not guarantee uninterrupted service. Maintenance, updates, or technical issues may temporarily affect service availability.

We reserve the right to modify, suspend, or discontinue any part of our service at any time, with or without notice, though we will make reasonable efforts to notify users of significant changes.

Some features may be limited or unavailable in certain geographic regions due to legal or technical constraints.

User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate, current, and complete information when creating your account and keep this information updated.

You must be at least 16 years old to create an account. Users under 18 must have parental or guardian consent.

You are prohibited from sharing your account credentials, creating multiple accounts to circumvent limitations, or using automated systems to access our services without permission.

You must immediately notify us of any unauthorized use of your account or any other breach of security.

Acceptable Use Policy

You may only upload and process files that you own or have explicit permission to modify. You are solely responsible for the content of your files.

Prohibited content includes but is not limited to: illegal materials, copyrighted content without permission, malware, spam, hate speech, harassment, or content that violates any applicable laws.

You may not use our services to: violate any laws, infringe on intellectual property rights, transmit harmful code, or attempt to gain unauthorized access to our systems.

Commercial use of our free services is limited. For extensive business use, please subscribe to our Pro or Enterprise plans.

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

Privacy & Data Handling

Your privacy is important to us. Our data handling practices are detailed in our Privacy Policy, which is incorporated into these terms by reference.

We automatically delete your processed files within 1 hour. We do not store, analyze, or share the content of your documents.

Account data is retained as described in our Privacy Policy. You may delete your account and associated data at any time.

By using our services, you consent to the data practices described in our Privacy Policy.

Payment Terms & Subscriptions

Subscription fees are charged in advance and are non-refundable except as required by law or as specified in our refund policy.

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel anytime from your account settings.

Price changes will be communicated at least 30 days in advance. Continued use after a price change constitutes acceptance of the new pricing.

If payment fails, your account may be suspended until payment is resolved. Unpaid accounts may be terminated after 30 days.

Enterprise customers may have different payment terms as specified in their separate agreements.

Intellectual Property

NanoPDF and its original content, features, and functionality are owned by NanoPDF and are protected by intellectual property laws.

You retain all rights to your files and content. By using our services, you grant us a temporary license to process your files solely for providing our services.

You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code.

Our trademarks, logos, and service marks may not be used without our prior written permission.

Limitation of Liability

Our services are provided 'as-is' without warranties of any kind. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

We shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption.

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

You agree to indemnify and hold us harmless from any claims arising from your use of our services or violation of these terms.

Dispute Resolution & Governing Law

Governing Law: These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these terms or your use of our services will be resolved through binding arbitration rather than in court, except for small claims disputes or intellectual property disputes.

Class Action Waiver: You agree not to participate in class action lawsuits or class-wide arbitrations against us.

Jurisdiction: Any legal action must be brought in the federal or state courts located in San Francisco County, California.
